1. Acceptance of Terms 

By accessing or using ASRO Track, including any associated websites, applications, APIs, or services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). 
If you do not agree to these Terms, you may not access or use the Service. 

These Terms apply to all users, including administrators, employees, contractors, and authorized third parties. 

 

2. Description of the Service 

ASRO Track is a cloud-based Asset and Maintenance Management platform that provides functionality including, but not limited to: 

  • Asset master and hierarchy management 

  • Preventive and corrective maintenance scheduling 

  • Work order and incident management 

  • Resource, material, and cost tracking 

  • Digital twin visualization 

  • Agentic AI–driven scheduling and asset health insights 

  • Reporting, analytics, and compliance tracking 

The Service is offered on a subscription and/or licensed basis, subject to these Terms and any applicable order forms or agreements. 

 

3. Eligibility and Account Registration 

You must be legally capable of entering into a binding agreement to use ASRO Track. 

You agree to: 

  • Provide accurate and complete registration information 

  • Maintain the confidentiality of your login credentials 

  • Be responsible for all activities performed under your account 

You are responsible for ensuring that all users under your account comply with these Terms. 

 

4. Subscription, Fees, and Payment 

Certain features of ASRO Track require a paid subscription. 

  • Fees, billing cycles, and payment terms will be specified in an applicable order form or invoice 

  • Fees are non-refundable unless otherwise stated in writing 

  • We reserve the right to suspend or terminate access for non-payment 

Prices may change with prior notice. 

 

5. Use of the Service 

You agree to use ASRO Track only for lawful business purposes and in compliance with all applicable laws and regulations. 

You may not: 

  • Reverse engineer, decompile, or attempt to extract source code 

  • Use the Service to transmit malicious code or disrupt operations 

  • Access or use the Service beyond authorized permissions 

  • Resell, sublicense, or commercially exploit the Service without written consent 

 

6. Data Ownership and Customer Data 

6.1 Customer Data 

You retain ownership of all data you upload or generate within ASRO Track (“Customer Data”). 

You grant ASRO Track a limited, non-exclusive right to process Customer Data solely to: 

  • Provide and operate the Service 

  • Improve platform performance and reliability 

  • Generate aggregated and anonymized analytics 

6.2 Data Security 

ASRO Track implements reasonable administrative, technical, and organizational safeguards to protect Customer Data. 

 

7. Confidentiality 

Each party agrees to keep confidential any non-public, proprietary, or confidential information received from the other party and to use such information only for purposes related to the Service. 

This obligation survives termination of these Terms. 

 

8. Intellectual Property 

All rights, title, and interest in ASRO Track, including software, content, trademarks, logos, and documentation, remain the exclusive property of ASRO Track or its licensors. 

No rights are granted except as expressly stated in these Terms. 

 

9. AI and Automation Features 

ASRO Track includes AI-driven and automated features (including Agentic AI). 

You acknowledge that: 

  • AI-generated outputs are recommendations, not guarantees 

  • Final operational decisions remain your responsibility 

  • ASRO Track is not liable for actions taken solely based on AI suggestions 

 

10. Availability and Support 

While we strive for high availability, the Service is provided on an “as is” and “as available” basis. 

We may perform maintenance, updates, or upgrades that temporarily affect availability. 

Support levels may vary based on your subscription plan. 

 

11. Termination 

We may suspend or terminate access to the Service if: 

  • These Terms are violated 

  • Payment obligations are not met 

  • Use poses a security or legal risk 

Upon termination: 

  • Access to the Service will cease 

  • Customer Data may be deleted after a reasonable retention period 

 

12. Disclaimer of Warranties 

To the maximum extent permitted by law: 

ASRO Track disclaims all warranties, express or implied, including: 

  • Merchantability 

  • Fitness for a particular purpose 

  • Non-infringement 

The Service is not guaranteed to be error-free or uninterrupted. 

 

13. Limitation of Liability 

To the maximum extent permitted by law: 

ASRO Track shall not be liable for: 

  • Indirect, incidental, or consequential damages 

  • Loss of profits, revenue, or data 

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. 

 

14. Indemnification 

You agree to indemnify and hold harmless ASRO Track from any claims, damages, or liabilities arising from: 

  • Your use of the Service 

  • Violation of these Terms 

  • Violation of applicable laws 

 

15. Changes to the Terms 

We may update these Terms from time to time. 
Material changes will be communicated via the website or email. 

Continued use of the Service constitutes acceptance of the updated Terms. 

 

16. Governing Law 

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
